^{AGF Distributor Price Book Terms and Conditions}

^{This agreement ("Agreement") outlines the terms and conditions that you, the distributor's representative ("Distributor") must agree to when downloading and using AGF's Price Book ("Price Book"). By downloading the Price Book, Distributor acknowledges and agrees to the following terms:}

^{1. Confidentiality:
a. Distributor's representative acknowledges that the AGF Price Book is considered a confidential document and contains sensitive, proprietary information owned by AGF. The distributor and their representative shall treat the AGF Price Book with the highest degree of confidentiality and shall not disclose, share, or disseminate the Price Book, in whole or in part, to any third party, including competitors or individuals outside of Distributor's organization, without the prior written consent of AGF.
b. Distributor is responsible for ensuring that its employees and agents are made aware of and bound by the confidentiality obligations contained in this Agreement and that they do not share, distribute, or use the AGF Price Book without proper authorization.}

^{2. Authorized Use:
a. Distributor is permitted to use the Price Book solely for the purpose of conducting business with AGF and for the purpose of promoting and selling AGF's products.
b. Distributor is not authorized to use the Price Book for any other purpose, including but not limited to copying, modifying, or distributing the content for any reason beyond the scope of the authorized business relationship with AGF.}

^{3. Security:
a. Distributor shall take all reasonable measures to ensure the AGF Price Book's security. This includes implementing security protocols, access controls, and physical safeguards to prevent unauthorized access to the Price Book.
b. In the event of any unauthorized access, disclosure, or use of the Price Book, the Distributor shall immediately notify AGF and take all necessary steps to mitigate any potential harm or loss.}

^{4. Termination:
a. AGF reserves the right to terminate this Agreement and revoke the Distributor's access to purchase AGF products at any time for any violation of these terms and conditions.}

^{5. Compliance with Applicable Laws:
a. Distributor shall comply with all applicable local, state, national, and international laws and regulations, including data privacy laws and intellectual property laws when using the Price Book.}

^{6. Ownership:
a. The Price Book and all its contents remain the exclusive property of AGF, and this Agreement does not convey any rights, titles, or interests in the Price Book to Distributor.}
